A bounded local review product for businesses and consumers.

A buyer must choose the accurate buyer scope. A business purchaser confirms authority to bind the named business and supplies accurate company, billing, and supported tax information. A consumer confirms predominantly private use and supplies an individual name and billing address. The catalog defines consumer offers for Starter and Pro, but checkout is exposed only for a delivery-ready tier and remains closed by default.

Before ordering, the buyer reviews the selected plan, monthly price, tax treatment, billing details, merchant of record, and the versioned seller, terms, privacy, cancellation, refund, and where applicable withdrawal notices. Business prices exclude applicable tax. Consumer prices are total monthly prices including applicable VAT. Stripe Checkout provides the final correction step. The final paid-subscription action clearly creates a recurring payment obligation. The contract language is English; no code of conduct applies.

In direct mode, Veyact is merchant of record. When Checkout displays Sold through Link, Link is merchant of record for payment, indirect tax, transaction emails, and transaction support, while Veyact supplies the Runrail license, local product, entitlement, and product support. A paid subscription becomes usable only after the explicit paid Checkout succeeds and Veyact confirms the resulting entitlement electronically. A pricing-page click, checkout preview, failed payment, or incomplete checkout is not acceptance. The confirmation identifies the plan, provider model, and policy versions; the buyer can download or save the published terms before ordering. The public safe sample is separate and creates no subscription.

Runrail does not offer a subscription trial under this version. The public safe sample can be completed without an account or payment, but reviewing a real repository requires an active Starter or Pro entitlement. Cancellation, refund, or expiry blocks new reviews while preserving read-only local history, exports, Change Passports, and uninstall access on the customer's device.

Self-service plans renew monthly until cancelled. Published business prices are net prices and exclude applicable tax. Valid reverse-charge or other business tax treatment applies only when the customer and transaction qualify. Published consumer prices include applicable VAT in the displayed total. Direct Checkout uses Veyact's approved Stripe Tax configuration. A Checkout marked Sold through Link uses Link's Managed Payments tax treatment. Stripe and Link host payment entry and subscription management; Veyact does not receive complete card details.

The purchaser agrees to receive order confirmations, invoices, credits, and related billing records electronically at the business contact supplied during checkout or through the hosted billing portal. During a statutory transition period, this may include a human-readable PDF or another permitted electronic format. Veyact will provide a structured German B2B e-invoice when the transaction and then-applicable law require one.

Cancellation will take effect at the end of the current paid billing period unless the account must be suspended earlier for fraud, security abuse, or material breach. The separate cancellation and refund policy controls billing corrections and refund requests.

A consumer has the 14-day withdrawal right and consequences described in the versioned withdrawal instructions. A consumer may expressly request immediate access after payment. Under the Runrail Paid Alpha consumer policy, that request does not remove the stated 14-day withdrawal right or the stated refund treatment.

A consumer may cancel at the end of the current paid period through Link, the subscriber billing portal, or the continuously available cancellation function. The public withdrawal function and cancellation function show a review step, require a final unambiguous declaration, store the request in private state, and immediately download a checksum-linked receipt.

The deterministic recommendation is offline and does not require a model provider. A customer may separately enable the DeepSeek BYOK candidate advisory from the local CLI after explicit network consent. That path sends only the published aggregate field allowlist directly from the customer machine to the fixed provider endpoint.

The optional response may select only fixed review-focus IDs or ABSTAIN. It has authority: none and cannot execute a command, patch or apply source, select a verifier, approve a merge, or replace human review. The customer is responsible for assessing DeepSeek's current terms and international-transfer conditions before enabling the optional path.

An active subscription grants a limited, non-exclusive, non-transferable right for the subscribing business or consumer to install and use Runrail within the published plan limits. The customer remains responsible for repository authorization, backups, project tests, review of exported evidence, and every merge or deployment decision.

The customer must not bypass entitlement controls, redistribute subscriber packages, probe another account, submit secrets to support, use Runrail on a repository without authorization, or present Runrail output as guaranteed correctness or a complete security review.

Runrail is pre-release software. It may contain defects and does not replace project tests, code review, security assessment, legal review, or deployment controls. The customer retains authority over source, commands, tests, acceptance, merge, and release.

Windows and macOS packages are checksum-verified preview distributions and are not currently publisher-signed or Apple-notarized. Veyact targets a first support response within one business day but provides no uptime, restoration, or resolution SLA in self-service plans. Planned maintenance and material availability incidents may affect package or entitlement access.

Statutory defect rights apply subject to the disclosed Alpha scope and limitations. Veyact does not guarantee uninterrupted operation, detection of every defect, correctness of a recommendation, security completeness, or fitness for a customer-specific production purpose.

Liability is unlimited for intent, gross negligence, injury to life, body, or health, fraudulent concealment, an expressly assumed guarantee, and mandatory product-liability claims. For slight negligence, Veyact is liable only for breach of an essential contractual duty and only for the foreseeable damage typical for this contract. Other liability for slight negligence is excluded to the extent permitted by law.

The subscription starts on electronic confirmation and continues month to month until cancelled. Veyact may suspend access where reasonably necessary to contain security abuse, payment fraud, entitlement bypass, or a material breach, and will restore access when the reason is resolved where practical. Either party may terminate for cause under applicable law.

Material adverse changes apply prospectively. Veyact will provide reasonable notice and will not retroactively change an already paid period without the customer's agreement. A customer that does not accept a future material change may cancel before the next renewal.

Self-service availability is limited to buyer scopes and territories supported by Stripe and permitted under applicable trade, sanctions, and export-control law. Veyact may refuse or cancel an order where the purchaser, destination, payment, or intended use is prohibited or cannot be verified within the Paid Alpha boundary.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, mandatory protections of the country of habitual residence and statutory venue rules remain unaffected. If a business customer is a merchant, a legal entity under public law, or a special fund under public law, the courts at Veyact's place of business have jurisdiction where permitted.
